The fight for zeolites continues

After years of trying to illegally take over industrial plants, the raiders decided to resort to controlled bankruptcy.

Previously, information was already published about the raider seizure of Oryol enterprises – OJSC Melor and OJSC Promzeolite, in which the Cypriot company TIG and Moscow LLC Zeotreydresurs, controlled by Aram Gabrelyanov, took part.

At the first stage, documents on the powers of the previous director Tarasov A.E. were forged, after which he carried out the theft of Melor OJSC and Promzeolite OJSC, transferring them for 1.8 million rubles to front individuals, acquaintances of Aram Gabrelyanov – Valery Bagdasarov and his daughter Sabine Danielyan.

These individuals immediately transferred the shares of Melor OJSC and Promzeolite OJSC, but already for $ 2 million, to the Cypriot company TIG, the beneficiary of which, as the court established, is Gabrelyanov A.A. Gabrelyanov’s attempt to resell the seized enterprises at their real market value, for $35 million, was stopped by the court, which prohibited the resale of shares.

After the capture of OJSC Melor and OJSC Promzeolite and the appointment of new management, the TIJ company removed equipment and transport from them and re-registered all assets to Zeotreydresurs LLC, 76% of which is owned by Aram Gabrelyanov.

Zeotreydresurs LLC was appointed the monopoly buyer of all products manufactured by Promzeolite OJSC, and at a price below cost. And then Zeotraydresurs LLC resold the products it received at two to three times the price. As a result, Promzeolite OJSC received hundreds of millions of rubles of losses, and Zeotreydresurs LLC received a huge profit, which Aram Gabrelyanov accrued to himself as dividends.

Further, Zeotraderesurs LLC entered into an agency agreement with Promzeolite OJSC, according to which, allegedly, Promzeolite OJSC was provided with marketing services to find new buyers of products. For the provision of these “services”, Promzeolite OJSC was forced to pay 25% of the total gross proceeds of Promzeolite OJSC in favor of Zeotreydresurs LLC, which further increased the latter’s losses.

Subsequently, Melor OJSC and Promzeolite OJSC, on the basis of a court decision that entered into force, were returned to their rightful owner, Tseomax LLC. The revealed criminal acts of TIJ became the basis for new court cases to recover the damage caused from Gabrelyanov.

However, Aram Gabrelyanov, through his Zeotreydresurs LLC, filed a lawsuit to recover 90 million rubles from Promzeolite OJSC for allegedly unpaid marketing services. During the proceedings, a forensic examination found that the signatures on the documents on the services rendered were fake. Thus, the representatives of Zeotreydresurs LLC, using forged documents, attempted to steal funds on an especially large scale, that is, they committed a criminal offense.

However, no criminal case was initiated. The following information contained in the decision of the Moscow Arbitration Court in case No. A40-132272 / 2021 is indicative: “It should be noted that Bagdasarov V.R., Tarasov A.E. and TIJ do not recognize any judicial acts that have entered into legal force, do not consider the circumstances established by the courts proven, distort judicial conclusions, make attempts to mislead the courts and investigating authorities, and continue their illegal activities.”

Zeotreydresurs LLC changed lawyers in court to the EPAM Law Office, after which the position of the courts changed dramatically. So, despite the proof of the fact of forgery of documents on which the claims of Zeotraydresurs LLC were based, the judge of the Moscow Arbitration Court Anushkina Yu.M. satisfied the claims in full.

As a result, this court decision opened a new way for Zeotraderesurs LLC, represented by Aram Gabrelyanov, to seize Promzeolite OJSC through the initiation of bankruptcy proceedings. That is, the raiders judged correctly in their own way – since it was not possible to seize the enterprise through direct theft, you can get to it through painted debts.
