Economic the court of Kyiv opened a case on the bankruptcy of the Kuznya on Rybalsky plant owned by Sergei Tigipko at the suit of Proctoremo Investments Limited.
This is stated in the decision of the Economic Court of Kyiv dated December 19, they write UN.
The court satisfied the claim of Proctoremo Investments Limited (Cyprus) on the introduction of bankruptcy proceedings for PJSC Kuznitsa on Rybalsky (Kyiv) and satisfied the monetary claims in the amount of UAH 83.3 million.
According to the resolution, on October 3, 2018, Proctoremo and Kuznitsa signed a contract for the sale of 70% of Land Development LTD Plus LLC, and on the same day these corporate rights were transferred to Kuzna.
30% of Land Development LTD Plus remains the property of Proctoremo.
According to the sale and purchase agreement, the seller pays UAH 60 million immediately, and the balance – UAH 92.461 million – must pay up to UAH 29 June 2024.
Moreover, at that time, the plant was still controlled by Petro Poroshenko, since information about the change in owner was entered into the register on November 28, 2018, but an agreement on the sale already existed, according to media reports.</p
Already after the sale of the plant on December 5, 2019, the parties supplemented the contracts with some clauses. Namely, they confirmed the payment of UAH 60 million by Kuznya, and also gave the right to Proctoremo to demand early payment of the entire agreement if the dollar/hryvnia exchange rate changes by 7%, but with a 10% discount, i.e. UAH 83.215 million.</p
In November 2022, Proctoremo put forward a demand for early payment, in response, Kuznitsa recognized the debt, but noted that it could not pay it due to the difficult financial situation.
The court established a moratorium on satisfying the claims of creditors and appointed an arbitration manager Sergei Boyarchukov as a property manager and scheduled a preliminary hearing on the case for February 27, 2023.
According to media reports, back in 2012, the City Council sold the land plot to Kuznya with an area of 8.18 hectares at the intersection of Zhilyanskaya and Petlyura streets for UAH 190 million for the construction of a shopping and entertainment center.
In February 2018, according to the State Land Cadastre, this site was registered specifically for Land Development LTD Plus.</p
As for the owner of Proctoremo, now he has a nominal Cypriot director, but until March 2018, Petro Poroshenko was listed as the owner.
And most likely the Land Development sale agreement was part of the sale agreement “Forges on Rybalsky”
As reported, in the fall of 2018, shortly before the presidential elections in 2019, Petro Poroshenko sold the “Forge on Rybalsky” plant to Sergei Tigipko.
“Forge on Rybalsky” ( formerly “Leninskaya Kuznitsa”) is a shipbuilding plant in Kyiv, specializing, among other things, in the manufacture of military boats.
The Prosecutor General's Office already had questions about state orders for the manufacture of boats at this plant during the presidency of the owner of the plant, Petro Poroshenko during the presidency of Vladimir Zelensky in 2020-2021.
