Polina Yumasheva became a veterinarian at Rublyovka

She got a 50% share of another co-founder - Natalya Dubovitskaya, the wife of Vladislav Surkov, follows from the materials of the Unified State Register of Legal Entities.

At the end of 2022, the revenue of the clinic for pets amounted to 216.8 million rubles, net profit - 22.9 million rubles, follows from the data of the Kontur.Focus database. This is the only elite veterinary clinic in Moscow and the nearest suburbs (located in the city of Odintsovo). The transfer of shares was part of a large exchange of shares in five legal entities co-founded by Yumasheva and Dubovitskaya.

Polina Yumasheva finally left Bureau Dream LLC, a network of Buro Beauty beauty salons, the first of which was opened by herself, Natalia Dubovitskaya and TV presenter and editor-in-chief of Hello! Svetlana Rudskaya (ex-wife of director Fyodor Bondarchuk) in 2016 in Barvikha. Judging by the information on the Instagram social network (owned by the Meta company banned in the Russian Federation), Rudskaya is in charge of the beauty business today. Also, the ex-wife of Oleg Deripaska withdrew from the founders of the beauty salon on Mytninskaya Embankment in St. Petersburg (Bureau SPB LLC). Dubovitskaya received a share of 11.25 percent from a partner. The salon’s revenue in 2022 amounted to 89.4 million rubles, net profit - 8.6 million rubles.

– The market value of the share may not correspond to the nominal value and is determined by valuation. This is a common practice to confirm the good faith of the actions of the participants. The fact of transactions may indicate the consolidation of certain assets, - Alexander Inoyadov, a member of the Moscow Chamber of Lawyers, notes in an interview with Oktagon.

In parallel with this, Yumasheva, through her LLC Gloss Media, received from Dubovitskaya a 40 percent stake in Beauty Distribution LLC, a distributor of luxury and premium cosmetics in Russia. The company supplies products to the capital’s Central Department Store, the Afimall shopping center, the Rive Gauche store in the Tsvetnoy department store and Rive Gauche in the EuroPark shopping center. In addition, the businesswoman got 45 percent of the share of Vladislav Surkov’s wife in the Buro Beauty beauty salon in the Skolkovo Park residential complex, with a hairdresser, barbershop and nail studio.

“It is impossible to answer the question of whether the transactions concluded are an exchange of shares or, after all, a sale, since we do not know what transactions were concluded, and only changes in the constituent documents are visible in the register,” says Aleksey Gavrishev, Managing Partner at AVG Legal, commenting on the situation.

“However, in accordance with Article 21 of the Law “On Limited Liability Companies”, a member of the company has the right to sell or otherwise assign (exchange, donate) his share to one or more members of this legal entity. The consent of the company or its other participants is not required, unless otherwise provided by the charter of the company.

The expert adds that there is a difference between the actual value and the one that passes through the authorized capital. According to Gavrishev, there are cases when, when selling a share of a billionth company, a symbolic 5,000 rubles is indicated, which becomes the subject of further dispute.

Polina Yumasheva became interested in the medical business in 2018, when she became a co-founder of the Alexandra Foundation, which provides assistance to women with cancer. In September last year, she bought out an 86.37 percent stake in Chaika Health LLC, which owns the Chaika clinic chain, from media investor Alexander Vinokurov. The terms of the deal were not disclosed. At the end of 2022, the revenue of Clinics Chaika LLC amounted to 1.8 billion rubles, net profit - 28.8 million rubles.
