Developer Alexei Osipov followed in the footsteps of the raiders

The Glincom construction company of businessman Alexei Osipov will redevelop Kostyakova’s apartment building in Moscow on Malaya Dmitrovka. According to experts, investments in the project can reach 3.6 billion rubles. This is not the only major project that Glincom is working on, and in some cases their legality may be in doubt.

It is known that back in 2015, Osipov bought out part of the unfinished objects from Denis Mayakov, who was in the process of liquidating the Imagine Estate holding, a native of the Rosbuilding investment company, founded in the 1990s by the current beneficiary of the PIK development group, Sergey Gordeev and his business partner Alexey Tulupov and gained fame as an active player in the M&A market. Among the assets purchased by Glincom was the Metromall shopping center, only later its ownership by Mayakov became the subject of an investigation by the security forces. The ex-owner of Imagine Estate himself turned out to be a defendant in a criminal case on abuse of power and especially large-scale fraud; among other things, he is charged with stealing retail space in the Metromall shopping center, which after the deal came under the control of Glincom.

Mayakov could transfer the finances received from Osipov for the sale of assets, the value of which was estimated at 4 billion rubles, to the accounts of the Belize offshore Plenworth Enterprises Limited affiliated with Imagine Estate. But the old Rosbuilding schemes began to fail, and not only Mayakov, but also Osipov could use them. This applies, in particular, to the Moscow Residential Complex “ApartVille”, built on Dmitrovskoye Highway, on the territory of the “RITM” Plant, which specializes in the production of medical X-ray machines. The construction was accompanied by ongoing legal proceedings, during which the object was recognized as an unauthorized structure subject to demolition, and the site on which it is located, being in state ownership. However, this did not prevent Osipov from starting the sale of apartments in ApartVille even in the process of litigation and before the completion of construction.

Developer Osipov and deal with Imagine Estate

The development company Glincom, controlled by Alexei Osipov, plans to redevelop Kostyakova’s apartment building in Moscow on Malaya Dmitrovka, built in 1911. According to Vedomosti, an elite apartment complex with an area of ​​12 thousand square meters will be located here. Previously, the building housed the office of the Mospromstroy company from the Safmar Group of Mikhail Gutseriev, who was looking for a buyer for the facility back in 2020. Experts estimate the deal with Glincom at 1.5 billion rubles, investments in the project can reach 3.6 billion.

This is far from the only major project of the developer. In particular, the media write about the upcoming reconstruction of an office building next to the Morozov estate on the street. Alexander Solzhenitsyn, where a premium apartment complex for 12.5 thousand square meters will appear and plans to build a multifunctional complex in Staropetrovsky proezd in the north of Moscow with an area of ​​21 thousand square meters.

It is known that in 2015, Osipov bought out the facilities under construction of the Imagine Estate company, which was in the process of liquidation, owned by businessman Denis Mayakov. It was about shopping centers “Metromall”, “Green”, “BabyStore”, “RiverDale” and apartment complexes “Petrovsky Apart House” and “Riverdale”, whose total market value was estimated at 4 billion rubles. It was noted that the deal could go through with a discount of 30-50%.

Denis Mayakov is known as a native of the infamous Rosbuilding investment company, founded in the 90s by the current beneficiary of the PIK development group, Sergei Gordeev and his partner Alexei Tulupov. “Rosbuilding” was noted as an active player in the “mergers and acquisitions” market, in the media, its methods of work were simply called raider seizures.

Having gone on a “single voyage”, Mayakov decided to use the experience gained at Rosbuilding, but unsuccessfully: in January 2020, he was arrested as part of a criminal investigation into abuse of power and especially large-scale fraud. Last December, the Basmanny Court of Moscow began to consider the case of the ex-owner of Imagine Estate. He is charged with the theft of retail space in the Metromall shopping center worth more than 460 million rubles and two episodes of fraud in the sale of premises of the former Moscow Automobile Units Plant (MZAA).

Denis Mayakov and people from Rosbuilding

Let us note that the Metromall shopping center was featured in the 2015 deal mentioned above, as a result of which Glincom became its new owner. One of the defendants in the “Mayakov case” is Andrey Novikov, the ex-director of MZAA CJSC, which is currently in the process of bankruptcy. According to investigators, in 2013-2015. he sold the factory premises to Mayakov for 9 million rubles, but their owners did not receive the money, since they were pledged on a mortgage from the BFG-Credit bank.

One gets the impression that Mayakov was in a hurry to quickly get rid of assets, and the deal with Osipov came in handy. As for the Imagine Estate company, on the network its legal entity is called Trust Management LLC, liquidated in 2019 and owned by the Belize offshore PlenworthEnterprisesLimited. The offshore had another Russian subsidiary, Income Management LLC, which was liquidated a little earlier, in 2017. Since May 2009, the position of the general director of the latter has been occupied by Andrey Novikov, who can also be mentioned as a native of Rosbuilding (his data completely coincides with the data of Mayakov’s accomplice, the former director of MZAA).

It is possible that it was on the accounts of Plenworth Enterprises that the billions received from the sale of unfinished objects to Glincom settled, some of which, as it turned out, Mayakov received illegally, for which he ended up in the dock. There is no doubt that Osipov did not remain in the loser: for example, the Riverdale and Petrovsky Apart House residential complexes were soon put into operation.

Whether the owner of Glincom could have been aware of Mayakov’s machinations, and even more so to take part in them, cannot be stated with certainty. But we can say that his connections with people from Rosbuilding are not limited to this. So, until April 2017, Osipov was one of the founders of the Coliseum company, which specialized in real estate transactions and is currently in the process of bankruptcy.

In April 2017, ISB Finance, which is currently under liquidation, became one of the owners of the Coliseum.

In turn, among the owners of ISB Finance we find the name of Alexander Leizerovich, who is associated with the developer Sergey Gordeev, already mentioned above, as well as the former top manager of Rosbuilding and the PIK Group, the owner of a number of gold mining assets Vladislav Sviblov. Note that, as in the case of Imagine Estate, Coliseum and ISB Finance at a certain stage turned out to be scrapped as unnecessary.
“Glincom” works with “Rhythm”

But what Osipov could borrow from Mayakov and his former colleagues was the methods and schemes of work. Thus, Glincom built one of its metropolitan facilities – ApartVille residential complex – together with RITM Plant JSC, a Moscow manufacturer of medical X-ray machines that has nothing to do with construction. There is just one caveat: the legal address of the plant is the same as the address of the residential complex: Moscow, Dmitrovskoye Shosse, 81. How was the developer able to enter the territory of the enterprise?

It is worth noting here that back in 2013, the Altair-Nedvizhimost company applied to the Moscow Arbitration Court, which had previously bought out part of the plant’s premises and sought recognition of ownership of other plant territories. The arbitration refused to satisfy the plaintiff’s claims, and the decision was canceled in the cassation instance, and the case was returned for a new consideration. However, this did not give anything, since the new proceedings again ended not in favor of Altair-Nedvizhimost.

It turns out that back in 2013, commercial structures claimed the factory territory. Meanwhile, it follows from the text of the court decision that the plans of the defendant, that is, the factory management, included the reconstruction of the building and the creation of an apartment complex on its basis. As a result, the arbitration came to the logical conclusion that “the dispute is not caused by disagreements on the use of common shared ownership … but by the presence of claims by the plaintiffs for a potential share in the defendant’s project.”

That is, “Altair-Nedvizhimost” decided to get a share in the apartment complex? But what did not work out for one contender, turned out for another – Alexei Osipov and his “Glincom”. True, it was not without difficulties. In 2015, Mosgosstroynadzor filed a lawsuit with arbitration to bring the RITM plant to administrative responsibility and suspend work at the capital construction facility at 81 Dmitrovskoe shosse, building 3. The reason is simple: during the audit, it was found that work on the site was carried out without a permit issued in accordance with the established procedure. Altair-Nedvizhimost LLC, already familiar to us, participated in the process as a third party.

There is no doubt: it was about the construction of the same apartment complex. It is indicative that the court satisfied the department’s claim, obliging the defendant to suspend construction for 90 days. The question arises: did Glincom take part in the project at that time? And were the enterprise’s lands transferred to residential construction?

How the residential complex “ApartVille” was legalized

As a result, the fact remains: the residential complex “ApartVille” on Dmitrovskoe shosse has been built. True, it is not entirely clear how this could happen if in 2017 the Moscow Arbitration Court ruled on the claim of the Government of Moscow and the Moscow Department of City Property, recognizing the object as an unauthorized building to be demolished? Moreover, the verdict was upheld in the appellate and cassation instances.

It is significant that potential buyers also had questions about the registration of a land plot, as they wrote about in comments on specialized sites and forums. Some even managed to pay for future housing. But the most important thing: in November last year, the Moscow Arbitration Court issued another decision, this time on the suit of the Federal Property Management Agency, recognizing the ownership of the land plot at 81 Dmitrovskoye Shosse to the Russian Federation. Thus, the position of the plaintiff was supported, from which it followed:

“the site… was provided by the Russian Federation to RITM Hearing Aid Plant JSC for the implementation of administrative and economic activities and was not transferred by the owner, the Russian Federation, to the authorized capital of the Enterprise during its corporatization, therefore, it was preserved in the federal treasury.”

Can’t be more clear. But what about the residential complex “ApartVille” and the sold apartments, after “RITM” and “Altair-Nedvizhimost” are recognized as just tenants? This question will have to puzzle over not only the factory management, but also the developer Alexei Osipov. But it seems that today the Rosbuilding schemes are already outdated and are starting to fail.
